Creator & Seller Terms

Supplementary terms for creators who sell products or receive tips on LinkStacked. These terms apply in addition to the main Terms of Service.

Who is a seller?

A "seller" is any LinkStacked user who has connected a Stripe account via our Stripe Connect integration and enabled at least one of the following commerce features: digital product listings, theme marketplace listings, or tip collection.

By becoming a seller, you confirm that you are a legal natural person or business entity with the right to enter into commerce transactions in your jurisdiction, and that you are not subject to any sanctions or trade restrictions.

Stripe Connect requirements

All seller payouts on LinkStacked are processed by Stripe. To receive payments, you must:

  • Create or connect an existing Stripe account via the LinkStacked dashboard (Settings → Payouts → Connect Stripe)
  • Complete Stripe's Know Your Customer (KYC) identity verification, including providing your legal name, address, date of birth, and a government-issued ID where required by Stripe
  • Maintain a Stripe account in good standing
  • Agree to and comply with the Stripe Connected Account Agreement and Stripe Services Agreement

Devpitch UG (haftungsbeschränkt) is not a bank, payment processor, or financial institution. We do not hold your funds. All funds flow directly through Stripe before being deposited to your connected bank account.

What you can sell

Sellers may list the following on LinkStacked:

  • Digital files (PDFs, ebooks, templates, presets, fonts, code, audio, video, archives)
  • Custom LinkStacked profile themes and design assets
  • Software licences and access codes (where you hold the right to resell)
  • Courses and educational content delivered as downloadable files
  • Art, photography, and other creative works in digital format

Product quality requirements

  • Products must be accurately described — no misleading titles, descriptions, or preview images
  • Files must be virus-free, spyware-free, and not obfuscated to hide malicious code
  • Products must be deliverable — all download files must be working and complete at time of listing
  • If a product becomes unavailable, remove or update the listing immediately

Prohibited goods & conduct

You may not sell or use the seller tools for:

  • Counterfeit, plagiarised, or stolen content — including AI-generated reproductions presented as original
  • Products that infringe third-party copyrights, trademarks, or patents
  • Adult content, explicit material, or anything illegal in Germany or the buyer's country
  • Content that enables or promotes hate speech, discrimination, violence, or self-harm
  • Software, code, or tools designed to hack, surveil, or harm (malware, stalkerware, cracking tools)
  • Products marketed via spam, unsolicited messages, fake reviews, or artificial social proof
  • Any product or use case prohibited by Stripe's Restricted Business Policy
  • Collecting tips as a mechanism to solicit money through deception, manipulation, or false emergency claims

Commission & platform fees

LinkStacked charges a platform commission on each successful transaction. Commission rates depend on your subscription plan:

Commission is deducted automatically before funds are transferred to your Stripe account. Stripe fees are deducted by Stripe independently. Current rates are always shown on the pricing page and in your dashboard.

We reserve the right to adjust commission rates with at least 30 days' advance notice. Existing transactions are settled at the rate applied at the time of sale.

Payouts & holds

Payouts are processed by Stripe based on your configured payout schedule. Standard processing times are:

  • Sales via card: typically 2–5 business days after transaction (Stripe's standard settlement)
  • Stripe may apply a 7-day rolling hold for new accounts
  • Payouts may be delayed if your Stripe account has outstanding identity verification requirements

Payout holds

We (or Stripe) may place a hold on your payouts in the following circumstances:

  • Elevated chargeback rate (above Stripe's acceptable threshold)
  • Open fraud investigation or law enforcement inquiry
  • Unresolved buyer complaints about product delivery failure
  • Violation of these Seller Terms or the main Terms of Service
  • Stripe's own risk or compliance assessment

We will notify you of any hold we initiate within 5 business days and provide the reason. Holds initiated by Stripe directly are governed by Stripe's Connected Account Agreement.

Chargebacks & buyer disputes

A chargeback occurs when a buyer disputes a charge with their card issuer. Chargebacks bypass the LinkStacked platform entirely — they are filed through the buyer's bank or card network and are adjudicated by Stripe.

  • You are liable for all chargebacks on your transactions, including Stripe's chargeback dispute fee (typically €15–25 per dispute)
  • Maintain clear product descriptions, delivery proof, and buyer communications to contest chargebacks effectively
  • Provide us with any requested evidence to support chargeback responses within 72 hours of our request
  • Sellers with a persistent high chargeback rate (above 1% over a 90-day period) may have their seller access suspended

Tax obligations

You are solely responsible for determining, reporting, and remitting all applicable taxes on your sales — including but not limited to income tax, VAT, sales tax, and digital services taxes.

Key obligations to be aware of:

  • EU VAT: If your customers are located in the EU and you exceed applicable thresholds, you may be required to register for VAT in each customer's EU member state (or use the EU One Stop Shop / OSS scheme)
  • Stripe Tax: Stripe offers optional automated tax calculation features that can help with compliance. You are responsible for configuring them correctly.
  • IRS Form 1099-K (US sellers): Stripe will issue a 1099-K if your US earnings exceed IRS reporting thresholds.
  • German KSt / ESt: German-resident sellers must declare LinkStacked earnings in their annual tax return.

Seller representations & warranties

By listing products on LinkStacked, you represent and warrant that:

  • You own or have all necessary rights, licences, and permissions to sell the listed content
  • Your products do not infringe any intellectual property rights of any third party
  • Your product descriptions are accurate and not misleading
  • You have the legal capacity to enter into a binding commerce relationship in your jurisdiction
  • You will comply with all applicable laws governing digital commerce, consumer protection, and taxation
  • You will not engage in deceptive, fraudulent, or manipulative sales practices

Suspension & termination of seller access

We may suspend or permanently revoke your seller access — separately from your general account — in the following circumstances:

  • Listing prohibited content or goods (immediate)
  • Persistent high chargeback rate or buyer complaints
  • Providing false or misleading information during Stripe onboarding
  • Using the seller tools for money laundering, fraud, or deceptive fundraising
  • Failure to maintain a Stripe account in good standing

Upon seller access termination: active product listings are unpublished immediately; pending payouts from successfully completed transactions will be processed normally (subject to any holds); disputed funds will be resolved through Stripe's standard dispute process.
